Terms of Use

TGC (“TGC,” “we,” “us,” or “our”) welcomes you to https://www.tgc.co (the “Site”). These Terms of Use (“Terms”) set out the terms and conditions for visiting or interacting with the Site, whether you are browsing, downloading resources, or otherwise engaging with our online content. By using the Site, you agree to these Terms and to any other policies referenced here, including our Privacy Policy. If you do not agree, please refrain from using the Site.

1. Who We Are and How These Terms Work 

We are a Canadian non-profit organization that empowers women and gender-diverse individuals to thrive in STEM and business careers. The Site is designed to share our programs, insights, and tools, and provide a platform to connect with and support the TGC community.

These Terms include our Privacy Policy. In the event of any conflict or inconsistency between these Terms and the Privacy Policy, the Privacy Policy will prevail. Additional terms may also be supplemented or replaced by specific content, goods, or services made available or supplied by us through the Site. 

2. Accessibility and Inclusion

TGC is committed to fostering an accessible and inclusive environment for all users. If you encounter any barriers while using our Site or participating in our programs, please contact us at support@tgc.co or through our contact form. We will do our best to accommodate your needs and ensure equitable access to our resources and services.

3. Your Responsibilities When Using the Site 

You must use the Site only for lawful purposes. As a condition of your use of the Site, you agree:

  • not to post or transmit anything that is defamatory, obscene, hateful, discriminatory, or otherwise objectionable;

  •  not to upload malware, attempt to gain unauthorized access, or interfere with the Site’s security features; 

  • to keep any passwords, access codes, or other login details confidential (you are responsible for all activity under your credentials);

  • to respect our intellectual property and that of others (see Section 4 below); or

  •  not to reverse engineer, decompile, copy, modify, distribute, transmit, license, sublicense, display, revise, perform, or exploit in any way the Site or its content except as permitted by us under these Terms or as expressly provided by these Terms or applicable law.

If you are a program applicant, participant, donor, sponsor, partner, newsletter subscriber, or alumnus, you agree to provide accurate information as required for your interactions with TGC and to comply with any additional guidelines or agreements specific to your role. You must use the Site in accordance with these Terms and any program, partnership, or alumni guidelines communicated by TGC.

4. Information You Provide to Us 

By submitting information (such as a résumé, question, or comment), you confirm it is accurate, you have the right to share it, and it does not infringe others’ rights. We may use, store, and process your submission as described in our Privacy Policy. Do not send confidential business ideas or proprietary content; such submissions may be deleted without notice.

5. User Submissions and Feedback

If you submit, upload, or otherwise provide any feedback, suggestions, ideas, comments, or other materials to us through the Site (“Feedback”), you agree that:

  • Your Feedback is provided voluntarily and without any expectation of compensation, credit, or confidentiality.

  • You grant TGC a worldwide, perpetual, irrevocable, royalty-free, non-exclusive license to use and incorporate your Feedback to improve our programs and services.

  • You waive any moral rights in the Feedback, to the extent permitted by law.

  • You represent that your Feedback does not infringe third-party rights.

Your feedback helps us improve our programs. We will only use feedback in a way that respects your privacy and intellectual contributions, and we will not publish personally identifiable information without your consent.

6. Intellectual Property

All content on the Site—including, but not limited to, training modules and materials; program videos, webinars, or downloadable resources; newsletter content; text; graphics; and design—is owned by or licensed to TGC and protected by copyright and trademark laws. Participants may be granted a limited, non-exclusive, non-transferable license to use these materials for their own personal, non-commercial learning and development, provided all proprietary notices are retained. Any other use, including reproduction, distribution, modification, or creation of derivative works, requires our prior written permission. You may not use TGC’s name, logo, or trademarks in a way that implies endorsement or affiliation without our express consent.

7. Acceptable Use Policy 

Your use of the Site is subject to the Acceptable Use Policy in Appendix A. Prohibited conduct includes impersonation, infringing intellectual property, disrupting the Site, and harvesting data. We may suspend or terminate access if you breach this policy.

8. Third-Party Content and Links 

We sometimes link to articles, tools, or other external sites for your convenience. We do not control—and are not responsible for—the content, security, or privacy practices on those sites. A link from our Site is not an endorsement. The Site may contain hyperlinks or references to third-party websites other than the Site. Any such hyperlinks or references are provided for your convenience only. We have no control over third-party websites and accept no responsibility for any content, material, or information contained in them. The display of any hyperlink and reference to any third-party website does not constitute an endorsement of such third party's website, products, or services. Your use of a third-party site may be governed by the terms and conditions of that third-party site.

9. No Professional Advice

All Site content is for informational purposes only and does not constitute legal, financial, or similar professional advice. Participation in TGC programs does not guarantee job placement or advancement.      Consult a qualified legal, financial, or other appropriate professional for advice specific to those areas.

10. Disclaimer of Warranties 

We do our best to keep the Site current, secure, and bug-free, but we provide it “as is” and “as available.” To the maximum extent permitted by law, we make no warranties—express or implied—about the Site, including its accuracy, completeness, or fitness for a particular purpose. You agree that your use of the Site is on an “as available basis.”  Except as otherwise expressly required by applicable law, we make no representations, warranties, conditions, or other terms (whether express or implied) in relation to the provision of the Site, including, without limitation, as to completeness, accuracy, and currency of any content on the Site, or as to satisfactory quality or fitness for a particular purpose.

11. Limitation of Liability 

To the fullest extent allowed by law, TGC and its staff are not liable for any indirect or consequential damages from use of the Site. Our total liability is limited to CAD $100 or the amount you paid us in the last six months, whichever is greater.

12. Indemnity

You agree to indemnify, defend, and hold harmless TGC, its affiliates, directors, officers, employees, agents, and third-party sources from and against any and all suits, losses, claims, demands, liabilities, damages, costs, and expenses (including reasonable legal fees) that arise from or relate to your violation of these Terms or any misuse of the Site. This obligation includes, but is not limited to, any breach of the Acceptable Use Policy or any other provision of these Terms. TGC reserves the right, but not the obligation, to participate in the defense or settlement of any such claim, and if TGC chooses to participate, each party will be responsible for its own legal fees. This indemnity survives the termination of your use of the Site.

13. Privacy and Cookies

Our Privacy Policy explains how we collect, use, and safeguard personal information. By using the Site, you acknowledge that we may process information as described there, including the use of cookies or similar technologies to analyze traffic and improve functionality.

14. Security

We use commercially reasonable measures to protect the Site and the information we hold. However, no website can guarantee absolute security. Please use appropriate caution when sending information over the internet.

15. Age Restrictions

The Site and services provided by TGC are intended adults only.

16. Changes to the Site or These Terms 

We may update the Site or modify these Terms from time to time. If changes are material, we will post an updated version with a revised “Last updated” date. Continuing to use the Site after changes means you accept the revised Terms. No changes to these Terms are valid or have any effect unless agreed by us in writing. We reserve the right to vary these Terms from time to time. Our new Terms will be displayed on the Site, and by continuing to use and access the Site following such changes, you agree to be bound by any variation made by us. It is your responsibility to check these Terms from time to time to verify such variations.

17. Suspension or Termination

We reserve the right to suspend or terminate your access to the Site, without notice, if we believe you have violated these Terms or applicable law, or if the Site is undergoing maintenance or experiencing technical issues.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.

19. Entire Agreement

These Terms, together with any other policies or agreements expressly incorporated by reference (such as the Privacy Policy), constitute the entire agreement between you and TGC regarding your use of the Site. They replace any earlier discussions or agreements about this subject, whether those were written or oral. Any waiver of a provision of these Terms will only be effective if it is in writing and signed by us. If we do not enforce a particular provision at any time, this does not mean we waive our right to enforce that provision or any other provision in the future.

20. Interpretation and Language

Headings in these Terms are provided for convenience only and do not affect how the Terms are interpreted. When we use words like "including" or "includes," we mean "including without limitation." The language used in these Terms reflects the mutual intent of both parties, and no rule of strict construction will be applied against either party.

21. Language

It is the express wish of both parties that these Terms and all related documents be written in English.

22. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts located in Toronto, Ontario.

Appendix A – Acceptable Use Policy

The following activities are not allowed on or in connection with the Site:

  • Illegal or Fraudulent Use: Do not use the Site for any unlawful, fraudulent, or malicious purpose.

  • Intellectual Property Infringement: Do not copy, reproduce, distribute, modify, or create derivative works from any content on the Site without our written permission. Do not remove or alter any copyright, trademark, or other proprietary notices.

  • Security Violations: Do not attempt to gain unauthorized access to the Site, its servers, or any other systems or networks connected to the Site. Do not upload, transmit, or distribute viruses, malware, or any other harmful code.

  • Interference and Disruption: Do not interfere with the operation of the Site or the experience of other users. This includes actions that place an unreasonable load on our infrastructure, such as using bots, crawlers, or other automated systems to access the Site.

  • Impersonation and Misrepresentation: Do not impersonate any person or entity or misrepresent your affiliation with any person or entity. Do not misrepresent your affiliation with TGC in any professional, academic, or profile setting.

  • Offensive Content: Do not post, upload, or transmit any content that is defamatory, obscene, hateful, discriminatory, harassing, threatening, or otherwise objectionable. Harassment of the TGC community members or program participants is strictly prohibited.

  • Commercial Exploitation: Do not use the Site for commercial purposes without our prior written consent, including advertising, soliciting, or selling products or services.

  • Reverse Engineering: Do not decompile, reverse engineer, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Site.

  • Data Collection: Do not systematically collect or harvest data from the Site, including through the use of automated tools, for the purpose of creating a database or directory.

  • Trademarks and Branding: Do not use our name, logo, or other proprietary information without our express written consent. Do not use TGC’s name, logo, or programs to falsely imply endorsement, sponsorship, or partnership by TGC.

If you violate this Acceptable Use Policy, we may suspend or terminate your access to the Site without notice and take any other action we deem appropriate.
